PEDRO PÉREZ, venezolano, casado, comerciante, mayor de edad y de este domicilio, identificado con Cédula de Identidad V-X.XXX.XXX, procediendo en este acto en mi carácter de Director Principal de CONSTRUCTORA YXYZ, compañía mercantil de este domicilio, debidamente inscrita en el Registro Mercantil de la Circunscripción Judicial del Districto Federal, el día 11 de abril de 1971, suficientemente autorizado para este otorgamiento por el Ordinal 4 del Artículo 21, del Acta Constitutiva-Estatutaria, que rige a dicha

I, PEDRO PÉREZ, a Venezuelan citizen, married, a businessman of legal age and a resident hereby, bearer of the Venezuelan Identity Card Nº VX.XXX.XXX, acting in my capacity of Director of CONSTRUCTORA YXYZ, a company domiciled in this jurisdiction, and duly incorporated before the Registry of Commerce, jurisdiction of the Federal District, on 11 April 1971, sufficiently authorized by Article 21(4) of the Company’s Bylaws, do hereby declare:

Compañía, declaro: Que a nombre de mi representada confiero poder especial, pero amplio y bastante cuanto en derecho se permite al Señor FRANCISCO GONZÁLEZ, venezolano, mayor de edad, de este domicilio, identificado con Cédula de Identidad Nº X.XXX.XXX, para que ejerza la representación de esta Compañía en los asuntos que aquí se mencionan.-

That on behalf of my principal I do grant special power of attorney, broad and sufficient as may be required by law, to Mr. FRANCISCO GONZÁLEZ, a Venezuelan citizen of legal age, bearer of the Venezuelan Identity Card Nº VXX.XXX.XXX, so that he may represent the abovementioned company as provided hereunder.-

Podrá en consecuencia el Apoderado que aquí, a nombre de CONSTRUCTORA YXYZ, dejo constituido, para ejercer la representación de dicha Compañía ante todos los Organismos de la Administración Pública, así como también ante las empresas mercantiles privadas, quedando debidamente facultado para ejercer ante todos ellos las atribuciones que se describen y a saber: Formular peticiones, representarla en las Licitaciones tanto públicas como privadas que abriesen los organismo públicos arriba mencionados, como las empresas privadas y relativas a trabajos de construcción; autorizar con su firma los respectivos contratos para el caso de que le fuese otorgada a CONSTRUCTORA YXYZ la Buena Pro en las respectivas Licitaciones; cobrar y recibir el importe de los anticipos, así como el de las valuaciones de obras, y el de las retenciones contractuales; solicitar y obtener de las Empresas de Seguros y/o Bancos la emisión de las fianzas destinadas a sustituir las retenciones contractuales que por concepto de fiel complimiento hubiesen verificado las empresas comitentes de las obras de construcción, a cuyo efecto podrá constituir a favor de las empresas emitentes de tales fianzas, las respectivas garantías.-

Said proxy, therefore, that on behalf of CONSTRUCTORA YXYZ I hereby constitute and appoint, is hereby authorized to act on behalf of the Company before both public sector entities and private corporations, namely to: lodge petitions, partake of bids for construction projects held by both the aforesaid public entities and private corporations; execute the corresponding contracts that through such bidding processes may be awarded to CONSTRUCTORA YXYZ; collect and receive advance payments as well as liquidations corresponding to assessments and appraisals for both partial works completed and backup withholdings; and purchase performace bonds from insurance and banking institutions to substitute for contract liens which the contracting client might have to withhold as security interests for noncompliance, being the Company’s attorney-in-fact empowered, therefore, to issue pledges in favor of the companies issuing such bonds.@Carlos Vicente Delgado
