HECHO RELEVANTE BIOORGANIC RESEARCH AND SERVICES, S.A. 8 de Enero de 2015 De conformidad con lo dispuesto en la Circular 9/2010 del Mercado Alternativo Bursátil, por medio de la presente se pone a disposición del mercado la siguiente información relativa a Bioorganic Research and Services, S.A.: Desde la Dirección del Grupo se informa que, con la información disponible en este momento, se espera para el cierre definitivo del ejercicio 2014 una desviación en ventas netas del orden de 1.980.000 € respecto a la previsión del plan de negocio vigente (4.269.000 €). La Dirección del Grupo igualmente informa que esta estimación de ventas netas (2.289.000 €) supondría un crecimiento superior al 150% respecto al ejercicio 2013 (870.000 €). En cuanto se disponga de información adicional sobre el cierre del ejercicio y sus potenciales impactos en las previsiones presupuestarias de 2015, se pondrán en conocimiento del mercado. La principal causa de la desviación se debe al comportamiento de la división BNT DERMOCOSMETICS, muy por debajo de lo esperado, explicado principalmente por el descenso general en el consumo así como un aumento significativo de la competencia. Para compensar las desviaciones de esta división, la Dirección del Grupo, además de contar desde octubre con los servicios de OSEI PHARMA para fortalecer la estrategia de ventas y aumentar de manera importante la red de vendedores, tiene en marcha otras gestiones en curso y cuenta con el buen comportamiento del área de Acuerdos de Desarrollos Colaborativos con terceros (codificados internamente como BNTs). En esta división, durante el ejercicio 2014 se han cumplido con los hitos técnicos previstos y se han incorporado nuevos desarrollos BNTs, entre los que destacan dos acuerdos con empresas biotecnológicas de Estados Unidos para sendos desarrollos en FLYLIFE de dos nuevas vacunas con aplicación en humanos. Datos concretos sobre el estado de los mismos se publicarán en el momento que la información sea relevante y se consigan las autorizaciones pertinentes de todas las partes implicadas. En la segunda mitad del ejercicio, tal como se reflejaba en la información semestral, la Dirección del Grupo estimaba ingresos de esta división de 1,5 millones de euros no contemplados inicialmente en el plan de negocio, que pudieran paliar en parte las desviaciones registradas por BNT DERMOCOSMETICS. Finalmente no se han producido antes del cierre del ejercicio como consecuencia de retrasos vinculados a la toma de decisiones de terceros sobre los Acuerdos de Desarrollo Colaborativos en marcha. Sobre datos previsionales Se recuerda al accionista que en el área de Acuerdos de Desarrollo Colaborativos se incluyen resultados previsionales. Estos datos están basados en las expectativas del equipo de gestión del Grupo Bionaturis y están sujetos a riesgos e incertidumbres significativas. In accordance with Section 9/2010 of the Mercado Alternativo Bursatil, by means of this relevant fact, the following information regarding Bioorganic Research and Services, S.A. is disclosed to the Market and to its investors: From the Management of the Group we want to inform that, with the information we have at this moment and regarding the 2014 final financial statements, we expect a net sales deviation from the last business plan published that could be around 1.980.000 € less than the initial prevision (4.269.000 €). The Management of the Group informs that this deviation in net sales (2.289.000 €) means anyway a growth of more than 150% regarding 2013 net sales (870.000 €). As soon as we have more information regarding the final 2014 figures and the potential impact on 2015 announced ones, that information will be immediately published so that the market can have it. The principal reason of this behavior is related to the BNT DERMOCOSMETICS division, much lower than expected, principally explained for the general decrease in the consumption as well as for a relevant increase of the competitors activity. In order to compensate these deviations, the Management of the Group, further to OSEI PHARMA services from October to make stronger the sales strategy and increase in an important way the sellers network, has started other initiatives and is having a good behavior in the BNTs Area. In this division, during 2014 the technical objectives have been achieved and new BNTs developments have been incorporated, underlining two agreements with two biotechnological companies based on the United States for the development of FLYLIFE developments with two new vaccinations for human beings. More information on these developments will be published as soon as the information is relevant ant other third parties involved allow it. In the second half of 2014, as reflected on the six months information, the Management of the Group expected incomes from this division up to 1,5 million euro that were not previously included in the business plan, and that those incomes could mitigate the deviations from BNT DERMOESTETICS. Finally those incomes did not come into the company before the end of the year because of some decisions from the third parties involved in the Collaborative Development Agreements.

Regarding forecast information We want to remind to the shareholders that in the Collaborative Development Agreements there are included forecast results. These data are based on the Bionaturis management team expectations and therefore subject to relevant risks and uncertain.
