Nosotros PEDRO ALEXANDER PINEDA DIAZ, bondureno, con No. De Identidad 0501-197401448, casado, Ingeniero Industrial de profesion, v que medlante acuerdo No. 90-B-2018 del 01 de marzo de 2018 fue certificado en el cargo de Ministro de Administration y Gestion Fmanciera de Casa Presidential, y quien en adelante se denominara EL CONTRATANTE, por la otra ANDRES LUCAS SILVA WOOD quien es mayor dc cdad, con pasaportc numero PI 9609273, de nacionalidad Chilena y en transito por esta Ciudad, quien comparece en su condition de Representante Legal de la Empresa “CYPARIS”, empresa constituida bajo las leyes de Florida, Estados Unidos y quien en adelante se denominara EL CONSULTOR, hemos convenido en celebrar, el presente CONTRATO DE CONSULTORIA, el cual se regulars por los derechos y obligaciones que las partes convienen en el presente convenio el cual se desarrolla asi: DECLARACIONES CASA PRESIDENCIAL DECLARA: A. Que el Ingeniero Pedro Alexander Pineda Diaz cuenta con las facultadcs legales suficientes y necesarias para celebrar el presente C-ontrato en su nombre y representation. B. El CONTRATISTA “CYPARIS” se compromete a entregar los productos enunciados en la CLAUSULA PRIMERA El CONTRATANTE se obliga a pagar por concepto de pago de prestacion de servicios a “CYPARIS” la cantidad total de US$ 40,600 (Cuarenta Mil Sriscientos Delates) siendo su equivalcntc en lempiras la cantidad de Lps.999, 166.00 (Novetientos Noventa y Nueve Mil Ciento Sesenta y Seis Lempiras) dividido en 6 pagos mensuales, de los cuales se retendra el 25% en concepto de Impuesto sobre la renta, adicionalmente y segun la ley de Contratadon del Estado de Honduras de acuerdo al ARTICULO 106, se retendra una garantia de cumplimiento equivalentes al diez por ciento (10%) de cada pago partial por concepto de los honorarios, mismo que seta cancelado dentro de 30 dias habiles despues de haber recibido el serticio. CLAUSULA TERCERA. Derechos de autor. Durante ia vigencia del presente Contrato, EL CONTRATISTA asume toda responsabilidad por las violaciones que se causen en matena de propiedad industrial, senalando de manera enunciativa mas no limitativa patentes, marcas, derechos de autor, etc., que sean originadas pot la utilization de los productos, tecmcas, herratnientas, dispositivos, sistemas, mecanismos, aites, etc., que utilice EL CONTRATISTA para proporcionar los Servicios objeto del presente Contrato. Condicion para la Prestacion de los Servicios. Los Servicios objeto de este Contrato deberan ser prestados en forma personal y directa por parte de EL CONSULTOR, aportando sus propios productos, recursos, experiencia, conocimientos tecnicos y especializados, a traves del personal especialmente designado y asignado para estos efectos, sobre lo cual EL CONSULTOR, nodficara a CASA PRESIDENCLAL, con toda oportunidad, reservandose CASA PRESIDENCIAL en todo caso, el derecho de rechazar y/o solicitar la substitucidn de cualquier persona que a su criterio, no cumpla los requisitos de profesionolismo, experiencia y desempeno que se espera de un especialista, por lo que EL CONSULTOR, se obliga a no subcontratar a persona alguna ni ceder de manera alguna los derechos que se derivan del presente Contrato, sin la previa autorizacion por escrito de CASA PRESIDEN CIAL. Las partes reconocen que es de la esencia y motivo determinantc cn la contratacion de los Servicios que presta EL CONSULTOR que este cumpla con lo siguiente: (a) AI CONSULTOR le esta terminantemente prohibido, comercializar, traspasat, vender, enajenar, ceder, permitir pot cualquiet motivo o ntulo, el uso, disposicion, o difusion para cualquier tercero, dc los documentos e information que pudiera resultar de la relacion entre las partes. (b) En todos los casos EL CONSULTOR, y el personal de este que sea destinado a la prestacion de los Servicios, deberan cumplir con las normas ericas y polMcas sobre conflictos de interes y toda la normariva interna vigente en su relacion con CASA PRESIDENCLAL, por lo que EL CONSULTOR, se obliga a evitar en general, situaciones en las que se antepongan o parezca que se anteponen intereses personales a los intereses de CASA PRESIDENCLAL. Asimismo EL CONSULTOR, se obliga a no permitir el ofrecimiento de incentivos o regales a empleados y funcionarios de CASA PRESIDENCLAL o de cualquier otra entidad gubemamental, ya sea del poder ejecutivo, legislativo o judicial, a fin

de obtener con ello beneficioe para EL

CONSULTOR, y/o sus subcontradstas, subsidiarias y/o filkles, de ser este el caso. CLAUSULA CUARTA. Confidencialidad. EL CONTRATISTA se obliga en forma irrevocable ante EL CONTRATANTE a no revelar, divulgar, ditundir, facilitar o transmidr, bajo cualquier forma y/o formato, a ninguna persona natural o juridica, sea esta publica o privada, informacion legi'timamente resguardada o bajo control de EL CONTRATANTE, a la que tenga acceso por estar relacionada con el desempeno de sus funciones y procesos del servicio brindados por EL CONTRATANTE. Tampoco podia udlizar en su propio beneficio, o en beneficio de terceros, la informacion a la que accede en esta consultoria, ni revelar, divulgar o difundir las polfticas y/o cualquier otra informacion vinculada con las funciones de EL CONTRATANTE. En el caso que EL CONTRATISTA le fuere requendo informacion que se considere reservada, por cualquier persona, organismo o institution, debera notificar a EL CONTRATANTE quien detidira los pasos a seguir e informacion a suministrar.

CLAUSULA QUINTA. Condicion para la Prestacion de la Consultoria. La consultorfa impartido, objeto de este Contrato, debcra set prestado en forma personal y directa por parte de EL CONTRATISTA, aportando sus propios productos, recursos, cxperiencia, conocimientos tecmcos y especializados, a traves del personal especialmente designado y asignado para estos efectos, sobre lo cual EL CONTRATISTA notificara a EL CONTRATANTE, con toda opommidad, reservdndose El CONTRATANTE en todo caso, el derecho de rechazar y/o solicitar la substitution de cualquier persona que a su cnterio, no cumpla los requisitos de profesionalismo, experience y desempeno que se espera de un cspecialista. CT.AITSTTT.A SEXTA. Responsabilidad Laboral. Ambas partes expresamente convienen que todo el personal que utilice EL CONTRATISTA para la prestacion de los Servicios en los tammos del

presente Contrato, sera personal exclusiva y pretisamente contratado por EL CONTRATISTA, por lo que EL CONTRATISTA sera exclusivamente responsable de las obligaciones laborales que surjan de las relationes existentes con su personal, tales como salarios, indemnizadones v riesgos profesionales o cualquier otra obligation o prestacion que derive de las citadas relationes laborales, el codigo de Trabajo, o de cualquier otro ofdenamiento legal que resulte aplicable. CLAUSULA SEPTIMA: Controversias. En caso de controversias en la ejecution de la consultoria, las partes se eomprometen a buscar la via del dialogo para solutionar las mistnas, en ai:as de buscar siemprc el beneficio de la Presidencia de la Republica de Honduras; En todo caso la jurisdiction competentc en caso de una judicializarion, es la que eorresponde al Juzgado de Lerras de lo Contenrioso Administrativo de la ciudad de Tegucigalpa, tal como dispone la Ley que rige dieba jurisdiction. CLAUSULA OCTAVA- Modificacinnes del Contrato. Este contrato podra set modiheado unicamente por acuerdo escrito v firmado por las partes. CLAUSULA NOVENA: Norifiracinnes. Para la validez de todas las comunicationes y notificadones a las partes, con motivo de la ejecution de este Contrato, ambas senalan como sus respectivos domitilios son los indicados en la presente clausula.
